2. Service Description

The AIgility APaaS is a multi-tenant cloud platform that enables users to:

• Create, configure, and deploy AI-powered agents
• Interact with AI agents through conversational interfaces
• Build and manage AI products and workflows
• Access enterprise features including white-label branding
• Integrate with third-party AI model providers
• Manage teams, roles, and organizational access

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time with reasonable notice.

3. Account Registration and Responsibilities

3.1 Account Creation

To use the Platform, you must:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate
• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that your use of the Platform complies with all applicable laws

3.3 Enterprise Accounts

If you are an enterprise administrator, you are responsible for managing team members, setting access permissions, and ensuring all users within your organization comply with these Terms.

4. Subscription, Billing, and Credits

4.1 Subscription Plans

The Platform offers various subscription tiers with different features, usage limits, and pricing. By selecting a subscription plan, you agree to pay the applicable fees as described at the time of purchase.

4.2 Credits and Usage

Certain Platform features consume credits based on usage (e.g., AI model tokens, API calls). Credits are subject to the terms of your subscription plan. Unused credits may expire according to your plan terms and are non-transferable unless otherwise specified.

4.3 Payment Terms

• All fees are quoted and payable in the currency specified at checkout
• Subscription fees are billed in advance on a recurring basis
• All payments are non-refundable except as required by law or as specified in these Terms
• We reserve the right to change pricing with 30 days' notice

4.4 Taxes

You are responsible for all applicable taxes associated with your use of the Platform, except for taxes based on our net income.

5. Acceptable Use Policy

You agree to use the Platform responsibly and in accordance with our AI Usage Policy. You may NOT use the Platform to:

5.1 Prohibited Content

• Generate or distribute illegal, harmful, or malicious content
• Create deepfakes, synthetic media, or content designed to deceive
• Produce or distribute misinformation, disinformation, or propaganda
• Generate content that infringes on intellectual property rights
• Create content that is defamatory, harassing, or discriminatory
• Produce sexually explicit content or content exploiting minors
• Generate content promoting violence, terrorism, or illegal activities

5.2 Prohibited Activities

• Attempt to circumvent security measures or access controls
• Reverse engineer, decompile, or disassemble the Platform
• Use automated systems to scrape or extract data from the Platform
• Interfere with or disrupt the Platform's infrastructure
• Impersonate any person or entity or misrepresent your affiliation
• Use the Platform to send spam, phishing, or unsolicited communications
• Resell, sublicense, or redistribute Platform access without authorization
• Use the Platform in violation of any applicable laws or regulations

5.3 Enforcement

We reserve the right to investigate and take appropriate action against violations, including suspending or terminating accounts, removing content, and reporting violations to law enforcement.

6. Intellectual Property

6.1 Platform Ownership

AIgility Solutions retains all intellectual property rights in and to the Platform, including but not limited to:

• All software, source code, algorithms, and technical architecture
• User interface designs, graphics, logos, and visual elements
• Documentation, training materials, and written content
• Trademarks, service marks, and brand identities
• Proprietary methodologies, processes, and know-how
• All improvements, modifications, and derivative works

No portion of the Platform may be copied, reproduced, modified, distributed, transmitted, displayed, published, licensed, or used for derivative works without the express written consent of AIgility Solutions. All rights not expressly granted are reserved.

6.2 Your Content

You retain ownership of content you create using the Platform ("User Content"). By using the Platform, you grant us a limited, non-exclusive license to:

• Store, process, and display your content to provide the Service
• Create backups and maintain platform security
• Use anonymized, aggregated data to improve our services

6.3 Agent and Product Ownership

Agents and products you create using the Platform belong to you, subject to:

• Your compliance with these Terms and applicable laws
• AIgility's ownership of underlying platform technology
• Third-party AI model provider terms and restrictions

6.4 Feedback

Any feedback, suggestions, or ideas you provide about the Platform become our property and may be used without restriction or compensation.

7. AI Services and Disclaimers

7.1 Platform Provider, Not Model Provider

AIgility is a platform provider, not an AI model provider. We integrate with third-party AI model providers to deliver AI capabilities. We do not build, train, or operate our own large language models. Your data is never used by AIgility to train AI models.

7.2 Third-Party AI Providers

The Platform integrates with trusted third-party AI model providers:

• OpenAI (GPT models)
• Anthropic (Claude models)
• Perplexity (Search-enhanced models)

As of the date of these Terms, the API agreements with these providers state that they do not use API data to train their models. Your prompts and content sent via APIs are not used for model training.

7.3 AI-Generated Content

You acknowledge that:

• AI-generated outputs may contain errors, inaccuracies, or biases
• AI outputs should not be relied upon as professional, legal, medical, or financial advice
• You are responsible for reviewing and verifying all AI-generated content before use
• AI capabilities and limitations may change as technology evolves

7.4 Human Oversight Required

We believe humans must remain accountable for all decisions and actions, even when assisted by AI. You agree to maintain appropriate human oversight when using AI features of the Platform.

8. Service Availability

We strive to maintain high availability of the Platform but do not guarantee uninterrupted service. The Platform may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs or security updates
• Factors beyond our reasonable control
• Third-party service outages

Enterprise customers may have specific service level agreements (SLAs) that supersede this section.

9. Termination

9.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Upon termination:

• Your access to the Platform will be revoked
• You may request export of your data within 30 days
• Prepaid subscription fees are generally non-refundable

9.2 Termination by Us

We may suspend or terminate your access if:

• You violate these Terms or our policies
• You fail to pay applicable fees
• Your use poses a security risk to the Platform or other users
• Required by law or legal process

9.3 Effect of Termination

Upon termination, your right to use the Platform ends immediately. We may delete your data in accordance with our data retention policies and Privacy Policy. Sections of these Terms that by their nature should survive termination will remain in effect.

10. Disclaimer and Limitation of Liability

10.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIGILITY SOLUTIONS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from AI-generated outputs or recommendations
• Third-party actions or content

Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

10.3 Indemnification

You agree to indemnify and hold harmless AIgility Solutions and its directors, officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Platform, your User Content, or your violation of these Terms.

11. Privacy and Data Protection

Your privacy is fundamental to how we design and operate the Platform. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11.1 Key Privacy Commitments

• No Model Training: We do not use your data to train AI models
• User-Serving Features: Features like agent memory and conversation history exist for your benefit, not data collection
• Encrypted Data: All user data is encrypted both in transit and at rest
• Ephemeral Processing: RAG documents are processed in memory and not stored to disk
• Anonymized Logs: Platform logs are anonymized and cannot be traced to individual users

By using the Platform, you consent to our data practices as described in the Privacy Policy.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles.

12.2 Jurisdiction

Any dispute arising from these Terms shall be heard exclusively by the courts of the Province of Alberta located in Calgary, Canada. You consent to the personal jurisdiction of such courts.

12.3 Dispute Resolution

Before initiating any legal action, you agree to contact us to attempt to resolve the dispute informally. We will work in good faith to address your concerns.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and AI Usage Policy, constitute the entire agreement between you and AIgility Solutions regarding the Platform.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

13.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

13.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Updating the "Last Updated" date at the top of this page
• Sending an email notification to registered users
• Displaying a prominent notice on the Platform

Your continued use of the Platform after changes take effect indicates your acceptance of the updated Terms.
